Is subleasing permitted? What are the conditions and requirements?
The answer
According to the Hanafi school, subleasing may be performed if the landlord expressly permits the superior tenant to sublease in the head lease, or it is not expressly prohibited and there is customary practice of it being contracted.
Condition: The head lease must permit subletting or custom allow it; a higher rent needs a currency change or added assets or services.
Explanation
In terms of the rental rate, the Hanafi principles state if there is no additional facility or service embedded into the sublease agreement by the superior tenant, then the rental rate should be same or lower than the head lease. However, if the superior tenant wants to sublease the property with a mark-up, then he must do one of the following:
1. Change the currency for the sublease agreement from the one used in the head lease.
2. Add additional assets, white goods, or accessories to the property such that what the sub-tenant is receiving is more than what is being provided in the head lease.
3. Provide an additional service to the sub-tenant.
Fiqh basis
Ibn Māzah al-Bukhārī (d.616 AH) whilst quoting Imam Muhammad (d.189 AH) states that a tenant gains ownership of Manfa’ah (usufruct) in a lease. In assets that are not impacted by the user, the lessee may sublease it to others.
The Fuqahā’ state that when the tenant subleases the property without adding anything to the property, he is not entitled to anything over and above what is being paid in the head lease. The property is still owned by the landlord, whilst the Manfa’ah is identical to what was received from the head lease. The tenant has not added anything himself to the services to be able to benefit from an increase in rent in the sublease. Hence, there is nothing being delivered to the subtenant that can be equated to additional rent. As such, Imam Raḍīy al-Dīn al-Sarakhsī (d.571 AH) states that any additional rent is void of any service or Manfaʿah in lieu of it, and that will be Ribā.
To expound further, the Ḍamān (risk and liability) of the property which is being delivered to the sub-tenant is owned by the landlord in the headlease. The superior tenant of the headlease simply gained ownership of the Manfaʿah, which from a Fiqh perspective is in reality Maʿdūm (non-existent) and not Māl (property); It is not something that is independently existent and retrievable at a later date, hence not qualifying as Māl. The Manfaʿah that is gained is derived from the property, and the property’s Ḍamānis with the landlord. Thus, whilst the superior tenant has Milkiyyah of the Manfaʿahand can lease it on further, it is identical to the Manfaʿahdelivered by the landlord, which is derived from the landlord’s property. When it is identical, there is no input from the superior tenant of the head lease to the sub-tenant in the sublease. Therefore, the superior tenant has no Ḍamānin excess of what he has received. The sublease in such a scenario is simply replacing oneself with a sub-tenant. The only Ḍamānthe superior tenant has is to ensure that he makes the Manfaʿahavailable to the sub-tenant. Whilst that Manfaʿahis identical to the head lease, the superior tenant is not entitled to charge anything extra. Now, if the superior tenant charges a higher rent, the surplus is not in lieu of anything. Therefore, it falls under the concept of Ribā, namely, an unjustified excess.
In order to benefit from a mark-up and surplus in the sublease, the Fuqaha’ have offered multiple solutions, as described in the answer. By agreeing to a different currency for the sublease contract, there is a different genus (Jins) for each contract. Imam al-Ḥaddādī al-Zabīdī (d.800 AH) states that when a different currency is stipulated in the sublease arrangement, it will be free from Ribā. The reason is that an excess can only manifest when the two payments that are being compared are identical. A different genus in each contract cannot be compared like-for-like. Therefore, an excess cannot manifest as the two currencies are different. This eliminates the legal cause (ʿillah) of Ribā.
Another solution offered by Imam Raḍīy al-Dīn al-Sarakhsī (d.571 AH) is that the superior tenant should add either additional items or offer an additional service to the property. This will enable equating the surplus rent in the sublease against this additional service.
If the superior tenant charged the rent for the sublease in the same currency as head lease, or if he did not add any additional services or facilities, then he must give away any surplus as purification payments.
And Allah knows best.
